Terms for using Oviro self-hosted services

1. Introduction

Welcome to Oviro. These terms apply to the use of the self-hosted software services provided by Oviro. By using the service, you agree to comply with these terms.

2. Definitions

Service: Oviro software deployed and operated on infrastructure controlled by the customer.

Customer: the organization or individual using Oviro services.

Self-hosted: a deployment model in which the customer controls the hosting environment.

Oviro: the provider of the software and related support services.

3. Scope of service

Oviro provides a self-hosted commerce software platform, including:

  • Software and required components for customer-managed deployment
  • Installation and usage documentation
  • Technical support within the agreed scope
  • Software updates and new features according to service policy

4. Customer responsibilities

The customer is responsible for:

  • Providing suitable infrastructure for deployment and operation
  • Securing and maintaining their own systems
  • Performing periodic backups
  • Complying with applicable laws and regulations
  • Using the software lawfully and within license terms
  • Paying service fees in full and on time

5. Oviro responsibilities

Oviro commits to:

  • Providing software consistent with the agreed scope
  • Delivering support in accordance with the agreed support terms or SLA
  • Providing suitable documentation
  • Giving advance notice of significant service-impacting changes
  • Protecting customer account information under the privacy policy

6. Intellectual property

Oviro retains all intellectual property rights in the software, branding, documentation, and related materials unless otherwise stated in writing. Customers receive a limited right to use the software according to the agreed license and may not copy, distribute, or transfer it to third parties without written approval.

7. Payment and refunds

Customers pay according to the selected service package. Fees may be billed monthly, quarterly, or annually depending on the agreement and are typically paid in advance. Refund conditions, if any, are defined in the applicable quotation, order form, or contract.

8. Security and privacy

Because the service is self-hosted, customer business data remains on infrastructure controlled by the customer. Oviro does not automatically collect, store, or access business data unless support access is explicitly requested or separately agreed upon.

9. Limitation of liability

Oviro is not liable for indirect, incidental, or consequential damages outside its reasonable control. Any maximum liability, if applicable, will be determined under the relevant contract or the value of the services paid for the applicable period.

10. Service termination

The service may terminate in the following cases:

  • The contract term ends and is not renewed
  • A party materially breaches agreed obligations
  • The customer fails to make payment after notice
  • Both parties agree to terminate

11. Changes to terms

Oviro may update these terms to reflect changes in the product, service, or legal requirements. Material changes will be communicated in advance within a reasonable notice period.

12. Dispute resolution

Any dispute should first be addressed through good-faith negotiation. If unresolved, the dispute will be handled by the competent authority and governing law identified in the contract or, where applicable, the laws of Vietnam.
